I know the FA bid on a player is final after 48 hours from the first bid, but in that way it kind of seems like Ebay where someone can just slip in a bid at the last minute there for the win.  Is there any kind of gentlemanly protocol to this?

It's 48 hours from the last bid.  So once a bid goes unanswered for 48 hours, the last bid wins it.

just for clarification on the releasing rules.  Say i have a player like cody mcleod he is exactly 1 mill salary.  if i released him would he still count against my cap?

Yes he would count against your cap.  Anyone under $1m doesn't count:

"Any released player signed for $1m+ still has his contract count against the cap."

Yup.  So for example if you win a player for $6m you have the option of signing him for 1y @ 6m, 2y @ 3m, or 3y @ 2m.  You couldn't do 4y @ 1.5m as the minimum for a 4 year deal is 5.5m per year.

I fixed the rules to make that more clear:

Contract Limits
Except for any contract inherited in 2011, all contracts must be no longer than five years. Also, for a given salary, all contracts (extension, FA) have term limits (max years contract can be per the yearly salary) as provided below.
